Organiser Terms

1. Introduction
These Organiser Terms (“Organiser Terms”) supplement the general Terms of Service and govern your use of the Tickts platform as an event organiser, venue operator, or promoter (“Organiser”). By registering as an Organiser on the Platform, you agree to be bound by these Organiser Terms in addition to the general Terms of Service.
2. Organiser Accounts
To sell tickets on the Platform, you must register for an Organiser account and provide accurate information about yourself or your organisation. You must be at least 18 years old and legally capable of entering into binding contracts.
You are responsible for all activity that occurs under your account and must keep your login credentials confidential. Where you grant team members access to your account, you remain responsible for their actions on the Platform.
3. Stripe Connect
Tickts uses Stripe Connect to process payments. As an Organiser, you must connect a valid Stripe account to receive payments from ticket sales. By connecting your Stripe account, you agree to Stripe’s Connected Account Agreement.
Ticket sale proceeds are paid directly to your connected Stripe account. Tickts does not hold, receive, or control funds on your behalf at any stage of the transaction.
3a. Reserve and Pay (Organiser-Collected Payment)
Where this option is available to you, you may offer buyers a “reserve now, pay the Organiser” option for an Event instead of online card payment. When you do, the buyer reserves a place and pays you directly by a method you arrange (such as cash or bank transfer); no payment is processed through Stripe or the Platform, and Tickts neither collects nor holds those funds. The reservation holds the place for a limited period and is released automatically if you do not confirm payment in time. You are solely responsible for collecting the payment, for issuing any refund of it through the same channel, and for complying with your own tax and consumer-law obligations on those sales. You confirm payment in your dashboard, at which point the Ticket is issued and emailed to the buyer.
Because buyers pay you directly under this option, the first Event you publish using it may be subject to a short verification review by Tickts (normally completed the same day), and Tickts may revert such an Event to draft pending that review, as part of our fraud-prevention measures and consistent with our rights under Section 7 (Event Listings). Organisers whose identity has already been verified through Stripe onboarding are not normally subject to this review. Buyers are shown, before reserving, that payment is made to you directly and is not handled by Tickts.
3b. Payment Methods (Pay by Bank and in-person card)
Pay by Bank. Where available, the Platform can offer buyers “Pay by Bank”, an open-banking (account-to-account) payment method provided through Stripe, alongside card. It is only offered on your Events where your own connected Stripe account has the relevant open-banking capability enabled (a Standard Stripe account must enable it in its own Stripe dashboard) and where the charge is within the limits Stripe sets for the method. A Pay by Bank payment settles to your connected Stripe account in the same way as a card payment, and you remain the merchant of record. Refunds of a Pay by Bank payment are made from your Stripe balance to the buyer’s bank account; the card chargeback route does not apply to that payment method. If Stripe rejects or cannot offer Pay by Bank for a given checkout, the buyer is offered card instead, so checkout does not break.
In-person card payments (card reader and Tap to Pay). Where you use a supported card reader (Stripe Terminal) or Tap to Pay on a compatible phone to take card payments in person at your box office, those payments are processed through Stripe and settle to your connected Stripe account, exactly like an online card sale. They are not the same as cash box-office sales: because they go through Stripe, refunds are made from your Stripe balance and the buyer has the normal card-chargeback rights. You are responsible for using the hardware and Tap to Pay function in line with Stripe’s terms and any applicable card-scheme and consumer rules, and for taking payment only for genuine sales.
4. Fees
Tickts does not charge booking fees to fans or commission on your ticket sales. The only per-transaction cost that Tickts applies is the Stripe payment processing fee of 1.5% + 20p per paid ticket. Free events are completely free to list and manage with no charges whatsoever. The one exception you control is the optional rep (promoter) programme: if you choose to run it, the commission you set is deducted from the relevant sales and paid on to your reps (see Section 7a). That is money you direct to your own promoters, not a fee Tickts charges you.
Organisers may choose to absorb the processing fee into their ticket price or pass it on to the buyer. Either way, fans always see a clear, transparent price with no hidden charges at checkout.
Tickts offers optional paid subscription tiers (Growth at £29/month and Pro at £69/month) that unlock additional features beyond the free Starter plan. Subscription fees are billed monthly and are separate from any Stripe payment processing fees. See Section 6 (Subscription Tiers) for full details of what each tier includes.
5. Tax Obligations
You are solely responsible for determining and fulfilling any tax obligations arising from your use of the Platform, including but not limited to income tax, corporation tax, and VAT registration and collection. It is your responsibility to account for and pay all taxes due on income received from ticket sales processed through the Platform.
Tickts does not provide tax, legal, or accounting advice and makes no representations regarding your tax position. You should seek independent professional advice if you are unsure about your tax obligations.
5a. Donations and Gift Aid
The Platform lets you enable optional donations at checkout. Any donation a buyer chooses to add is paid to you in the same way as ticket income, and forms part of the income for which you are responsible under section 5 above.
You are solely responsible for describing donations accurately and lawfully. You must not describe a payment as a donation, or suggest that it supports a charitable purpose or qualifies for tax relief, unless that is genuinely the case. Collecting donations may be subject to fundraising, consumer protection, and charity law, and it is your responsibility to comply with any rules that apply to you.
Gift Aid is available only to organisers who are charities recognised by HMRC and verified as such on the Platform. Where you offer Gift Aid, you are responsible for the accuracy of every declaration, and for claiming and accounting for Gift Aid directly with HMRC. Tickts does not submit Gift Aid claims on your behalf and makes no representation that any donation qualifies.
Donations are voluntary gifts and are generally non-refundable. If you refund a donation after claiming Gift Aid on it, you are responsible for adjusting or repaying that Gift Aid to HMRC.
You are responsible for retaining Gift Aid declaration records for the period HMRC requires. Tickts captures and stores each declaration on your behalf as your processor and submits no claim.
6. Subscription Tiers
6.1 Overview
Tickts offers three subscription tiers. Each tier unlocks additional features as described below. Higher tiers inherit all features included in lower tiers.
6.2 Starter (Free)
The Starter tier is free of charge and includes the following features:
- Unlimited event creation and ticket sales
- QR code scanner app
- Promo codes
- Box office (walk-up sales)
- Add-ons
- Multi-date events
- Best-available seating
- Basic analytics
- Ticket transfers
- 1 seating layout
- Up to 100 campaign emails per month
6.3 Growth (£29/month)
The Growth tier costs £29 per month and includes everything in Starter, plus the following additional features:
- Payment plans
- Waitlist management
- Email campaigns (up to 5,000 emails per month)
- Affiliate tracking
- Checkout questions
- Group discounts
- Advanced analytics
- Custom branding (minimal Tickts branding)
- Unlimited seating layouts
- Up to 5 team members
6.4 Pro (£69/month)
The Pro tier costs £69 per month and includes everything in Growth, plus the following additional features:
- Season passes
- White-label experience (custom subdomain branding). White-label subdomains are decommissioned upon plan downgrade to Growth or Starter, or upon account closure. It is your responsibility to update any links or communications that reference your white-label subdomain before decommissioning takes effect.
- Queue system for high-demand on-sales
- Fan CRM
- API access and webhook integrations. You are responsible for securing your webhook endpoint. tickts will not be liable for data exposed through an insecure or misconfigured webhook endpoint. Webhook events currently delivered are
order.created(paid orders),order.refunded, andticket.checked_in; further event types may be added over time and will appear in your dashboard when available. Payloads are signed with HMAC-SHA256 using a shared secret. Failed deliveries are retried up to 3 times with exponential backoff (30 seconds, 2 minutes, 10 minutes). After 10 consecutive failures the webhook is automatically disabled and you will be notified by email. - Complete removal of Tickts branding
- Priority support

6.5 Billing
Subscription fees are billed monthly on a recurring basis via Stripe. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. All prices are stated in pounds sterling and are exclusive of VAT where applicable.
6.6 Upgrades
You may upgrade your subscription tier at any time. Upgrades take effect immediately. Where you upgrade mid-cycle, you will be charged a prorated amount for the remainder of your current billing period, reflecting the price difference between your old tier and your new tier.
6.7 Downgrades
You may downgrade your subscription tier at any time. Downgrades take effect at the start of your next billing period; you will retain access to all features of your current tier until the end of the period you have already paid for. When a downgrade takes effect, your existing data (including events, seating layouts, campaigns, and other records created using gated features) is preserved, but you will not be able to create new instances of features that are not included in your new tier until you upgrade again.
6.8 Cancellation
You may cancel your subscription at any time from your account settings. Upon cancellation, your paid features will remain active until the end of your current billing period. At the end of that period, your account will revert to the Starter (Free) tier. No refunds are given for partial billing periods.
6.9 Price Changes
If we change our subscription pricing or the features included in each tier, we will give you at least 30 days' written notice before the change takes effect.
7. Event Listings
You are solely responsible for the accuracy and legality of your event listings, including but not limited to event descriptions, images, dates, times, venue information, and ticket pricing. You must not list events that are fraudulent, misleading, or illegal.
Tickts reserves the right to remove any event listing that violates these terms or applicable law, without prior notice.
Promotional licence. You grant Tickts a non-exclusive, worldwide, royalty-free licence to use, reproduce, adapt, and display the content of your event listings (including titles, descriptions, and images) for the purpose of operating and promoting the Platform and your events, including on Tickts' own social media channels and other marketing channels. You confirm that you hold all rights necessary to grant this licence. You may withdraw the licence for a specific listing at any time by removing the content from the Platform or contacting us, except in respect of posts already published, which we will remove on request within a reasonable period.
7.1 Migrating events from other platforms
Tickts offers an import tool (for example at /switch-from-eventbrite, /switch-from-skiddle and related pages) that reads a public event listing URL you provide, or runs a one-click bookmarklet inside your own browser, and pre-fills a draft event on your Tickts account.
Your confirmations. By initiating an import, you confirm that:
- you are the organiser of the event being imported, or are acting with the express authority of the organiser;
- you own, or have the right to use, copy, and republish, all content imported (title, description, images, pricing, ticket tiers, venue and date information);
- importing your own listing into Tickts is not prevented by any agreement you have entered into with the source platform, and you are solely responsible for any obligations under that agreement;
- you will review the imported draft for accuracy before publishing it on Tickts, and you are solely responsible for any errors, omissions, or out-of-date details that go live as a result of your publishing decision.
No warranty on imported data. The import tool extracts data from the source page on a best-effort basis. The source page may contain errors, may have been edited since you last reviewed it, may render differently in an automated context, or may not include every field. Tickts makes no warranty as to the accuracy, completeness, or currency of imported data. Verification is your responsibility before publish.
Source platform relationship. Tickts is not a party to any agreement between you and the source platform. Any contractual dispute, claim, or enforcement action arising from your use of content originally hosted on a source platform is a matter between you and that source platform.
Indemnity (in addition to clause 14). You agree to indemnify, defend, and hold harmless Tickts Ltd against any claim brought by a source platform, by a third-party rights holder, or by any other person, that arises from or relates to your use of the import tool, including claims of unauthorised use, breach of contract, or infringement of intellectual property rights.
The import tool operates only on the specific URL or page you point it at, one event at a time, and only at your explicit request. Tickts does not browse, crawl, or harvest the source platform's wider catalogue.
7a. Affiliate, Referral & Rep Links
You may create tracking links for your Events to see where your sales come from (for example, links you share with promoters, partners, or your own channels). There are two kinds:
- Attribution-only links. These simply record which channel a sale came from. No commission is paid through the Platform for them, and Tickts is not a party to any separate arrangement you make with a third party who promotes your Event.
- Rep (promoter) commission links. Where your plan includes the rep programme, you may set a commission rate and issue links to reps. When a sale is attributed to a rep’s link, that rep earns the commission you set on that sale. The commission is funded from your sale proceeds, collected through Stripe, and paid to the rep’s own connected Stripe Express account once the refund/settlement window for the order has passed. A commission is reduced or reversed if the underlying order is refunded, cancelled, or charged back, and is subject to any per-rep or per-campaign cap you set. A rep must complete Stripe Express onboarding before any commission can be paid to them.
In both cases you are responsible for any payment, disclosure, tax, or advertising obligation arising from your promoter arrangements, and for ensuring anyone promoting your Event complies with applicable advertising and consumer-protection rules. Tickts provides the tracking and, for the rep programme, the commission collection and payout mechanism only; it is not the employer or principal of any rep and is not a party to your arrangement with them.
7b. Post-purchase Offers
Where available on your plan, you may configure one optional extra ticket type to be offered to a buyer on their order confirmation page. If the buyer accepts, a separate order is created for that item on your connected Stripe account, linked to the buyer's original order. You are responsible for honouring the offered item exactly as described, and your event's refund policy applies to it. The original order and the offer order are refunded independently; if you cancel the event or refund a buyer in full, you are responsible for refunding both orders. Offers must not be misleading and are shown to each buyer at most once per order.
7c. Call Dibs & Make-it-happen Pledges
Where your plan includes them, you may enable two demand-capture tools that save a fan’s card in advance and charge it later, on your connected Stripe account, only when a defined trigger occurs:
- Call Dibs. On a sold-out Ticket type, fans can save a card to join a priority list. When inventory frees up (a refund, release, resale listing, or expired reservation), the next fan’s saved card is charged the current Ticket price (up to any maximum they set) and their Ticket issues automatically. Uncharged dibs expire after 30 days, or when the Event starts, whichever is first.
- Make-it-happen Pledges. For a proposed Event, fans save a card to pledge towards a target. If the target is met and you confirm the Event, every active pledge is charged and Tickets issue. If the deadline passes short of target, or you cancel the campaign, all pledges are released uncharged.
You are the merchant of record for any Ticket issued this way, exactly as for an ordinary sale, and you authorise Tickts to instruct Stripe to charge the saved cards off-session on your connected account on these triggers. You are responsible for honouring the resulting Tickets, and your own refund policy applies to them. Saved cards are stored by Stripe, not by Tickts, and are only ever charged as described.
8. Refunds & Cancellations
If you cancel an event, you must provide full refunds to all ticket holders. Tickts will facilitate the refund process through Stripe. You are responsible for ensuring sufficient funds are available in your Stripe account to cover refunds.
For non-cancelled events, refund policies are at your discretion, but must be clearly communicated to buyers before purchase. You must comply with all applicable consumer protection legislation, including the Consumer Rights Act 2015.
Refunds are paid from your Stripe balance. Because all ticket-sale funds are paid directly to your connected Stripe account, all refunds, partial refunds, payment-plan reversals, and chargeback losses are debited from your Stripe balance. Tickts does not refund ticket-sale funds out of its own resources and is under no obligation to do so. You must keep sufficient balance in your Stripe account, or top up by other means accepted by Stripe, to meet refund and chargeback obligations as they arise. Where your Stripe account has insufficient balance, has been suspended, has been closed, or is otherwise unable to process a refund, the obligation to refund the buyer remains yours.
You authorise refund-related actions on your behalf. Where Tickts is required to act in the buyer’s interests (for example, to comply with a regulatory requirement, a dispute decision against you, a chargeback, or a determination by Stripe that a refund is owed), you authorise Tickts to instruct Stripe to issue refunds, reverse application fees, cancel payment plans, void or revoke unscanned tickets, and release reserved inventory back to sale, in each case without further notice. Tickts will use reasonable efforts to give you advance notice but is not required to do so where time is critical or where doing so would prejudice the buyer.
Box-office and complimentary orders. Orders you create through the box-office feature can be cash, an in-person card payment, or complimentary. Cash and other off-Platform payments do not pass through Stripe, and you are solely responsible for refunding them through the channel they were originally taken. In-person card payments taken through Stripe (card reader or Tap to Pay, see Section 3b) do pass through Stripe and are refunded from your Stripe balance in the same way as an online card sale. Complimentary tickets remain subject to your own conditions of issue.
8a. Ticket Resale
The Platform offers an optional fan-to-fan resale feature. It is off by default, and you choose whether to enable it for each Event. When you enable it, Fans who hold a valid Ticket for that Event and can no longer attend may resell it to other Fans, but only after the relevant Ticket type has sold out, so resale never competes with Tickets you are still selling.
- It costs you nothing and you keep your own sales. Resale is between Fans. You receive no part of the resale price and pay no resale fee. Your primary ticket sales, and the payouts to your connected Stripe account, are unaffected.
- Capped at face value. Fans may resell only at, or below, the original face value. The Platform makes resale above face value impossible.
- Tickts handles the transfer. When a resale completes, the seller’s Ticket and QR code are invalidated and a fresh, valid Ticket is issued to the buyer. Tickts retains a service fee from the seller only, and pays the seller their proceeds approximately five working days after the Event.
- Availability. Resale is available on all subscription tiers, including the free plan.
When you enable resale, Tickts acts as the operator of the secondary ticketing facility for those resales and presents the required information to buyers, including the face value, any age or entry restriction on the Event, and the fact that the Ticket is sold by a Fan and not by you. You remain responsible for ensuring the restriction and accessibility information on your Event listing is accurate, so that it can be shown correctly on any resale.
9. Payment Plans
If your subscription tier includes payment plans (Growth and above), you may enable payment plans on your events to allow buyers to spread the cost of their tickets over multiple instalments. By enabling payment plans, you acknowledge and agree to the following:
- Availability: Payment plans are only offered to buyers when the event date is at least 30 days away. All instalments are scheduled to complete at least 7 days before the event.
- Deposit and instalments: You may configure the deposit percentage (default 25%) and number of instalments (default 3) per event. Instalment amounts are calculated automatically and charged to the buyer’s saved payment method on the scheduled dates.
- Failed payments: If a buyer’s instalment payment fails after 3 attempts, the payment plan is automatically cancelled, the buyer’s tickets are revoked, and the reserved inventory is released back for sale. The deposit is retained, but instalments collected beyond the deposit are automatically refunded to the buyer from your Stripe balance; because the inventory is released back for sale, you keep the deposit and the resale opportunity rather than the full amount paid.
- Stripe fees: Stripe processing fees apply to each instalment charge, not just the initial deposit. The platform fee (if applicable) is distributed proportionally across instalments.
- Event cancellation: If you cancel an event or sub-event while payment plans are active, all active plans for that event will be automatically cancelled and no further instalments will be collected. You remain responsible for refunding buyers in accordance with Section 8 above.
- Funds: Instalment payments are made directly to your connected Stripe account. You are responsible for ensuring your Stripe account remains active and in good standing for the duration of any active payment plans.
9a. Split the Bill (Group Payments)
Where available, you may let buyers split the cost of an order across a group, with each participant paying their own share by card (or another available method) through Stripe on your connected account. Inventory is reserved while the group pays. The Tickets issue only once every share is paid; if the deadline lapses first, the shares already paid are refunded to the participants who paid them and the reserved inventory is released. Each participant’s payment settles to your connected Stripe account and each is refundable individually. You are the merchant of record for every share in the same way as any other sale, and your obligations under Section 8 (Refunds & Cancellations) apply to each share.
9b. Memberships
If your subscription tier includes memberships, you may offer buyers a recurring, auto-renewing membership to you (for example unlocking member pricing or early access). Membership charges are collected via Stripe on your connected account and are your income. By offering a membership you agree that:
- the price, billing interval, and benefits are described clearly to the buyer before they join;
- members may cancel at any time, effective at the end of the period already paid for, and you will honour their benefits until then;
- a price change applies only from a member’s next renewal, and members are told before it takes effect;
- the membership benefits are provided by you, not by Tickts. If you withdraw the membership programme or leave the Platform, no further charges are taken, and any remedy a member has for the remainder of a period they have paid for is against you;
- you are responsible for complying with all consumer law that applies to recurring subscriptions, including pre-contract information, cancellation, and renewal-reminder obligations, and for any VAT due on membership income.
9c. Gift Cards
Where available, you may sell gift cards (prepaid credit) redeemable only against your own Events. When a buyer purchases a gift card, the payment settles to your connected Stripe account and the prepaid balance is your liability: you are responsible for honouring it and for the balance if you cease trading or leave the Platform. You set any expiry, which is shown to the buyer before purchase. You are responsible for complying with the law that applies to prepaid credit (including consumer, e-money where relevant, and tax rules), for the correct VAT treatment of gift-card sales and redemptions, and for not setting terms that unfairly deprive a buyer of a paid-for balance. Where an order paid with a gift card is refunded, the refund is returned as gift-card balance.
9d. VAT Invoices
Because you are the merchant of record for every sale, any supply to the buyer is your supply, and any VAT on it is your responsibility (see Section 5). Where you enable VAT invoicing, the Platform can generate a VAT invoice for a buyer on a completed order using the VAT details and VAT registration number you provide. You are responsible for the accuracy of those details, for whether VAT applies and at what rate, for the correct treatment of any donation (which is outside the scope of VAT) and of any zero-rated or exempt item, and for meeting your own VAT record-keeping and reporting obligations. The invoice is issued in your name as the supplier; Tickts provides the invoicing tool only and is not the supplier and does not give tax advice.
10. Acceptable Use
As an Organiser, you must not:
- List fraudulent, fictitious, or misleading events;
- List events promoting illegal activities, violence, or hatred;
- Misrepresent the nature, venue, performers, or any material aspect of your event;
- Use buyer data obtained through the Platform for purposes unrelated to the event;
- Attempt to circumvent or manipulate the Platform’s fee structure;
- Impersonate another organiser, venue, or brand.
Violation of these rules may result in immediate suspension or termination of your account and removal of your event listings.
11. Data Processing
When fans purchase tickets for your events, you act as the data controller for the buyer’s personal data (name, email address, and order details) in respect of your event management activities. Tickts acts as a data processor on your behalf for the purpose of facilitating ticket sales and delivery. These Organiser Terms, together with our Privacy Policy, constitute the data processing agreement between you (as controller) and Tickts (as processor) for the purposes of UK GDPR Article 28(3).
11.1 Subject matter, duration, nature and purpose
Subject matter: processing of buyer personal data necessary to operate the Platform, process ticket sales, deliver tickets, validate entry, administer payment plans and refunds, and provide associated event-management features you choose to use. Duration: for the lifetime of your Organiser account, plus the retention periods set out in our Privacy Policy. Nature and purpose: hosting, storage, transmission, validation, and (where you use those features) email delivery, analytics, CRM, affiliate tracking, and webhooks. Categories of data: name, email address, order details, ticket data, scan logs, payment metadata (no card numbers), and where you collect them, checkout-question answers and marketing-consent records, and where you are a verified charity offering Gift Aid, the donor's name, home address, postcode and Gift Aid declaration. Categories of data subjects: ticket buyers, ticket attendees, your team members, and (where applicable) waitlist subscribers.
11.2 Tickts’s obligations as processor
Tickts will:
- process buyer personal data only on your documented instructions, including your use of the Platform’s features and configuration, and the obligations set out in these Organiser Terms, except where required by UK or EU law to process otherwise (in which case we will inform you unless prohibited from doing so);
- ensure that personnel authorised to process buyer personal data are subject to confidentiality obligations;
- implement appropriate technical and organisational measures to ensure a level of security appropriate to the risk, including the measures set out in our Privacy Policy (encryption in transit, access controls, secure password hashing, DDoS protection, and regular security review), and maintain a 30-day administrative activity log of state-changing actions taken in your dashboard (with sensitive form values redacted at capture) for security, debugging, and dispute resolution;
- only engage sub-processors as listed in our Privacy Policy (or as otherwise notified to you), impose materially equivalent data-protection obligations on each sub-processor by contract, and remain liable to you for the performance of each sub-processor;
- notify you of any intended addition or replacement of a sub-processor, by updating the sub-processor list in our Privacy Policy with reasonable notice, giving you the opportunity to object on reasonable data-protection grounds;
- taking into account the nature of the processing, assist you by appropriate technical and organisational measures, insofar as this is possible, to fulfil your obligation to respond to data-subject requests under Chapter III of the UK GDPR (access, rectification, erasure, restriction, portability, objection);
- assist you in ensuring compliance with your obligations under Articles 32 to 36 of the UK GDPR (security, breach notification, data-protection impact assessments, prior consultation), taking into account the nature of the processing and the information available to us;
- notify you without undue delay after becoming aware of a personal data breach affecting buyer data we process for you;
- at the end of the provision of services, on your written request, return or delete all buyer personal data, except to the extent that retention is required by UK or EU law (for example, HMRC financial-record retention) or where buyer data is also processed for legitimate independent purposes (for example, fraud-prevention records);
- make available to you all information necessary to demonstrate compliance with the obligations set out in this Section 11, and allow for and contribute to audits, including inspections, conducted by you or another auditor mandated by you, on reasonable advance written notice and during normal business hours, subject to confidentiality obligations and reasonable cost recovery.
11.3 International transfers
Where Tickts or any sub-processor transfers buyer personal data outside the United Kingdom, the transfer is made subject to appropriate safeguards under Article 46 of the UK GDPR, including the UK International Data Transfer Agreement, the UK Addendum to the EU Standard Contractual Clauses, or reliance on a recognised adequacy decision.
11.4 Your obligations as controller
You must handle all buyer data in compliance with the UK GDPR and the Data Protection Act 2018, including providing buyers with a clear privacy notice for your own processing, identifying a lawful basis for any processing you carry out on the data we share with you, and responding to data-subject requests relating to data you hold as a data controller.
You may only use buyer data for purposes directly related to the event for which the tickets were purchased, unless you have obtained separate, explicit consent from the individuals concerned. You must not sell, share, or use buyer data for unrelated marketing purposes without obtaining explicit consent. You are responsible for the accuracy of any data you upload to the Platform (for example, mailing-list imports) and for ensuring you have the legal right to upload it.
12. Chargebacks & Disputes
As payments are made directly to your Stripe account, you are responsible for handling any chargebacks, payment disputes, or fraud claims raised by buyers with their card issuers or banks.
You must respond promptly to dispute notifications from Stripe and provide evidence as required. Tickts may assist by providing transaction records where available, but the financial liability for chargebacks rests with you as the Organiser.
13. Liability
Tickts acts solely as a technology platform provider. Tickts is not an event organiser, promoter, venue operator, or ticket agent and bears no responsibility for the delivery, quality, or safety of your events.
Specifically, Tickts shall not be liable for:
- Event cancellations, postponements, venue changes, or failure to deliver the advertised experience;
- Failures in QR code scanning, ticket validation, scanner-app crashes, scanner-device battery or connectivity failures, or door-staff misuse of the scanner at your events;
- Door queues, delayed entry, or capacity issues caused by your operational decisions;
- Delays or failures in ticket transfer processing;
- Wallet-pass issues outside our control, including Apple Wallet or Google Wallet outages, operating-system updates that change pass behaviour, or fan device failures;
- Email delivery failures by third-party providers (including order confirmations, reminders, payment-plan notices, and chargeback notifications);
- Payment disputes, chargebacks, fraudulent transactions, or losses arising from a buyer’s use of stolen card details;
- Attendee injuries, property damage, alcohol-related incidents, crowd-control failures, or any other incident at your events;
- Your failure to comply with licensing, health and safety, age-restriction, accessibility, or other regulatory requirements;
- Loss of revenue resulting from Platform downtime or service interruptions;
- Inaccuracy of data you have imported from another platform using the migration tool (see Section 7.1);
- Acts or omissions of any of your team members, door staff, agents, contractors, or sub-licensees.
The Platform is provided on an “as is” and “as available” basis without any warranty of any kind.
Tickts does not charge commission or platform fees to Organisers, other than any promoter/rep commission you choose to set, which Tickts collects through Stripe and pays on to your reps on your behalf (Section 7a). Optional paid subscription tiers are available for access to additional features (see Section 6). All payment processing fees are charged by Stripe, not by Tickts. Our total aggregate liability to you for all claims arising out of or relating to these Organiser Terms or your use of the Platform shall not exceed the greater of (a) one hundred pounds sterling (£100) or (b) the total subscription fees paid by you to Tickts in the twelve (12) months preceding the claim.
Nothing in these terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited by English law.
14. Indemnification
You agree to indemnify, defend, and hold harmless TICKTS LTD, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in connection with: (a) your events; (b) your use of the Platform; (c) your breach of these Organiser Terms; (d) your violation of any applicable law or regulation; (e) any claim by a ticket buyer or attendee relating to your event; or (f) your handling of buyer personal data.
15. Platform Availability
We do not offer a service level agreement (SLA) or guarantee of uptime. While we strive to maintain high availability, the Platform may be unavailable from time to time due to scheduled maintenance, updates, or circumstances beyond our control.
The Platform relies on third-party services including Stripe (payments), email delivery providers (transactional emails), and cloud infrastructure. We are not responsible for outages or performance issues caused by third-party service providers.
16. Termination
Either party may terminate the Organiser relationship at any time. You may stop using the Platform and close your Organiser account at any time.
We may suspend or terminate your Organiser account immediately if you breach these terms, engage in fraudulent activity, receive excessive chargebacks, or if we are required to do so by law.
Upon termination: (a) all existing valid tickets remain valid and enforceable; (b) you remain responsible for fulfilling all outstanding orders and honouring all sold tickets; (c) any pending payouts will be processed according to Stripe’s standard procedures; (d) you must continue to handle buyer data in accordance with data protection law.
You may not close your Organiser account while you have upcoming events with sold tickets, or within 90 days of your most recent transaction. Upon account closure: (a) your personal data is anonymised; (b) your Stripe Connect account is disconnected; (c) any active subscriptions are cancelled; (d) transaction records, event data, and order history are retained for 7 years to comply with HMRC requirements; (e) your team members’ scanner access is revoked.
16.1 Stranded tickets and abandoned accounts
If your Organiser account becomes inactive, abandoned, unreachable, or is suspended or terminated while live tickets are outstanding, Tickts may, in its sole discretion and acting in the buyers’ interests:
- continue to display the Event listing, ticket details, and entry information to existing ticket holders so they can attend;
- display a clear notice to ticket holders that the Event is no longer being managed by you, or that the Organiser account is suspended;
- cancel the Event, instruct Stripe to refund some or all ticket holders from your connected Stripe balance, and reverse any associated application fees;
- where Stripe holds a positive balance attributable to your sales, request that Stripe apply that balance against refunds or chargebacks before any payout to you;
- communicate with ticket holders to inform them of the position, including their right to chargeback through their card issuer where Stripe cannot process a refund;
- retain transaction records, scan logs, and audit trails as required for HMRC, dispute resolution, and Platform integrity, even after your account is closed.
You agree that the actions in this clause 16.1 are taken in the legitimate interests of buyers and the Platform, that they do not constitute a breach by Tickts of these Organiser Terms, and that Tickts is not liable to you for any loss arising from those actions.
16.2 Beta features and changes to features
Tickts may, at its sole discretion, label features as “beta”, “preview”, “experimental”, or similar. Beta features are provided as-is, may be unstable, may be changed or removed without notice, and are excluded from any service-level expectations and from the liability cap calculation in clause 13. Tickts may also add, change, deprecate, or remove non-beta features at any time, on reasonable notice where the change is material, except that we will not remove a feature you actively rely on without giving you a reasonable opportunity to migrate to an alternative or to export your data.
17. Governing Law
For Organisers established in the Republic of Ireland, these Organiser Terms shall be governed by and construed in accordance with the laws of the Republic of Ireland. Any disputes shall be subject to the non-exclusive jurisdiction of the courts of Ireland.
17a. Mediation (P2B Regulation)
For Organisers established within the European Union, in accordance with Article 12 of Regulation (EU) 2019/1150 (the “Platform-to-Business Regulation”), Tickts is willing to engage with the following independent mediators to settle disputes that cannot be resolved through our internal complaint-handling system: (1) the Competition and Consumer Protection Commission (CCPC) mediation referrals, and (2) the Mediators’ Institute of Ireland (MII) accredited panel. Engaging a mediator does not preclude any party from later pursuing the matter through the courts. Each party bears its own costs of mediation; the mediator’s fee is shared equally unless otherwise agreed.
18. General
Entire agreement. These Organiser Terms, the general Terms of Service, the Privacy Policy, and the Stripe Connected Account Agreement constitute the entire agreement between you and Tickts in respect of your use of the Platform as an Organiser, and supersede any prior agreements, understandings, or representations on the same subject. They override any conflicting term in a purchase order, signature email, or vendor-onboarding form you may submit, unless agreed in writing and signed by a director of Tickts Ltd.
Severability. If any provision is held invalid, illegal, or unenforceable, that provision shall be severed and the remainder shall continue in full force and effect.
No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
Assignment. You may not assign or transfer these Organiser Terms or any of your rights or obligations under them without our prior written consent. We may assign or novate these Organiser Terms to any successor in connection with a merger, acquisition, restructuring, or sale of the business, on the same terms.
Independent contractors. Nothing in these Organiser Terms creates a partnership, joint venture, agency, employment, or franchise relationship between you and Tickts. Neither party has authority to bind the other.
Notices. Notices to you may be given by email to the address associated with your Organiser account, by message in your account, or by prominent notice on the Platform. Notices to us must be sent to [email protected], with formal legal notices also sent to TICKTS LTD, 124-128 City Road, London, EC1V 2NX.
Third-party rights. A person who is not a party to these Organiser Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term, except that Stripe may enforce any term that expressly references Stripe.
Survival. Sections 4 (Fees), 8 (Refunds & Cancellations), 11 (Data Processing), 12 (Chargebacks & Disputes), 13 (Liability), 14 (Indemnification), 16 (Termination), 17 (Governing Law), and this Section 18 survive termination of these Organiser Terms.
